NBA Top Shot Referral Program Rules

These NBA Top Shot Program Rules (“Program Rules”) govern your participation in NBA Top Shot Referral Program (“Referral Program”). The Program Rules are in addition to any agreements between you, NBA Top Shot, and Dapper Labs Inc. (“Dapper”), including the NBA Top Shot Terms of Use and the Dapper Service Terms of Use (collectively, the “Terms of Use”). The Terms of Use are incorporated by reference and shall apply to your participation in the Referral Program, including, if necessary, to resolve any disputes between you and Dapper related to or arising from the Referral Program.
I. Program Overview
The Referral Program is offered by Dapper and provides current NBA Top Shot Users who are interested in referring their family and friends (“Referrers”) the opportunity to refer eligible individuals to join the NBA Top Shot and Dapper communities as new users (“Referred Users”). The Referral Program will begin on May 25, 2022 and end on June 20, 2024. The Referral Program will run for a limited time only and is subject to change at Dapper’s sole discretion. These Program Rules apply to both Referrers and Referred Users, so please read carefully to understand your respective rights and obligations
II. Referrer Eligibility
To be eligible to participate in the Referral Program as a Referrer, you must (a) be an existing NBA Top Shot and Dapper Wallet user; have successfully verified your identity; (c) maintain a NBA Top Shot and Dapper account in good standing; (d) be a legal resident of and be presently located in the United States, Canada, or Australia; and (e) be of the age of majority in your territory of residence. However, if you violate the Program Rules, the Terms of Use, or any other applicable terms, Dapper may suspend or terminate your ability to participate in the Referral Program.
III. Codes
Under the Referral Program, Dapper may provide you with a unique link (“Referral Link”) to distribute to eligible individuals to become new NBA Top Shot and Dapper Wallet users. Dapper may also provide you the ability to create additional Referral Links. Dapper owns all rights in and to any Referral Link whether provided to you or created by you. You acknowledge and agree that: (a) Dapper may limit the number of Referral Links you may create or are made available to you, (b) you have no ownership rights in any form over the Referral Links, and (c) Dapper may reclaim, deactivate, invalidate or terminate your Referral Links at any time at its discretion.
IV. How to Refer Users
You may invite friends and family to become new NBA Top Shot and Dapper Wallet Users by directly distributing your Referral Link. In order to be eligible for a Referral Reward (defined below) for a Referred User, the potential Referred User must (i) have never previously created a NBA Top Shot or Dapper account; (ii) be at least the age of majority in their territory of residence, (iii) use your Referral Link; (iv) successfully complete Dapper’s KYC process; (v) purchase an NBA Top Shot Pack or WNBA Pack on nbatopshot; and (vi) be a legal resident of and be presently located in the United States, Canada, or Australia (together known as the “Reward Criteria”). If these conditions are met, the person shall be considered your Referred User. If a User does not enter your Referral Link you will not receive attribution for the referral and they will not be considered your Referred User.

A. Referral
Rewards for Referrers
When you refer a potential Referred User that satisfies the Reward Criteria, you may be eligible for $15.00 in non-withdrawable and non-transferable Dapper Balance (“Referral Reward”). A maximum of $2,000.00 in Referral Rewards will be issued to a single Referrer, in a single week (Sunday through Saturday).
B. Referral Rewards for Referred Users
Referred Users may be eligible to receive $15.00 in non-withdrawable and non-transferrable Dapper Balance (“Referee Reward”) upon satisfying the Reward Criteria. Referred Users are eligible to receive a maximum of one (1) Referee Reward.
VI. Reward Conditions
Referral Rewards and Referee Rewards can only be used in conjunction with a Dapper Wallet and cannot be redeemable for cash. Dapper reserves the right to change the amount of the Referral Reward, the maximum amount of Referral Rewards you can earn per week (or any other time increment) for referring individuals to NBA Top Shot, and the amount of the Referee Award. It is your responsibility to review the Program Rules for the current reward amounts and maximum limits.
VII. Dispute Resolution over Referrals
Only one Referrer can earn a Referral Reward for a single and unique Referred User. If multiple persons claim credit for a particular referral, Dapper has full discretion to determine which person earned such referral according to Dapper’s systems.
VIII. Reservation of Rights
Dapper reserves the right to withhold or deduct Referral Rewards and Referee Rewards obtained through the Referral Program if Dapper determines or believes that the receipt of the Referral Reward was in error, fraudulent, illegal, or in violation of these Program Rules or any other applicable agreement between you and Dapper.
IX. Restrictions
If you violate any of these restrictions below, Dapper may, in its discretion, remove your eligibility to participate in the Referral Program, and/or deny you any Referral Rewards earned in violation or suspected violation of these restrictions.In connection with your participation in the Referral Program, you expressly agree that you will only refer family, friends, or other personal acquaintances for whom you have the necessary consent to send an invitation to.When distributing, promoting, or communicating your Referral Link(s) you agree that you will not:
“Spam” anyone with invitations to join the Referral Program and that you always will remain compliant with CAN-SPAM, the TCPA, and other applicable laws.
Compensate the Referred User to initiate transactions, enter promotions or queues on your behalf, or provide any form of compensation outside of regular user activity on the platform.
Make self-referrals or refer individuals or entities that are masking their identity.
Engage in fraudulent transactions, chargebacks, or illicit sources of funding.
Solicit or advertise the Referral Program publicly. This program is currently being offered to existing NBA Top Shot users.
Create websites, domains, URLs, social media handles or email addresses containing the word “Dapper” or “NBA Top Shot”.
Use the names or marks of Dapper competitors.
Use images of celebrities or other public or private figures without their written consent.Use someone else’s brand name or intellectual property without their written consent.
Engage in phishing or attempting to obtain financial or other personal information.
Solicit passwords or personally identifiable information.
Sell your Referral Link. You agree that you will only distribute your Referral Link free of charge only for promotional purposes. You may not sell, trade, or barter your Referral Link under any circumstances.
Violate or infringe the rights of a third party.
Advertise. You agree that you will not pay to advertise your Referral Link or the Referral Program, including via Google, Facebook, Amazon, Twitter, Bing, and Craigslist.
Engage in fraudulent activity. You agree that you and your Referred Users will not defraud or abuse (or attempt to defraud or abuse) Dapper, the terms of the Referral Program, or any invited potential users.
The following specific activities are expressly prohibited:
Mass emailing, texting or messaging people you do not personally know.
Use of automated systems or bots through any channel to distribute, post or respond to your Referral Link.
Use of scripts programmed or automatic dialers to send invites or to communicate Referral Links, and posting Referral Links on event or venue pages without express permission from the event or venue owner.
Making Misrepresentations. You agree that you will not attempt to mislead anyone in connection with the Referral Program, either by affirmative representation, implication, or omission. In particular, you agree that you will not: Impersonate any person or entity.
Creating fake accounts, blogs, webpages, profiles, websites, links or messages.
Misrepresenting your relationship with Dapper or any other third party (Don’t create content or communications that could have the effect of leading a consumer to believe that it is an official communication from Dapper);Suggesting that an affiliation or partnership exists with a third party where none exists.
Making misrepresentations with respect to the characteristics or qualification requirements for any Referral or Referee Rewards. You acknowledge that Dapper may change the characteristics or qualification requirements for Referral and Referee Rewards at its discretion, and therefore you shall not represent any fixed characteristics.
Posting Prohibited content. You agree that you will not use the Dapper brand without Dapper’s explicit written permission in connection with:
Disparaging or defamatory content concerning Dapper or third parties.
Content that promotes racism, bigotry, hatred, discrimination or physical harm of any kind against any group or individual.Offensive, abusive, intimidating, or harassing content
Content that is sexually explicit, obscene, and/or contains nudity
Any political and/or religious statement.
Content containing images or references to drugs, alcohol, tobacco, weapons, or firearms
Content that violates someone else’s privacy
